FlowCode Partner Agreement

1. Definitions

“FlowCode”: Refers to FGI d.o.o., the company managing the FlowCode Partner Network and associated services, with its registered office at Strossmayerjeva 16, 1000 Ljubljana, Slovenia. Contact: support@theflowcode.com.
“FlowCode Partner Network”: An online sales platform provided by FlowCode for partner engagement and activity tracking.
“FlowCode Partner”: A physical or legal entity authorized to access the FlowCode Partner Coach Portal and promote FlowCode services, earning commissions as outlined in this Agreement.
“FlowCode Services”: Includes Portal registration and related products available through the FlowCode website.

2. Independent Contractor

The relationship between FlowCode and FlowCode Partners is that of independent contractors. This Agreement does not establish any partnership, joint venture, or employment relationship, and FlowCode Partners have no authority to bind or represent FlowCode.

3. Your membership renewal

After one year you are due for the renewal of your membership depending on the amount of members you have:

199 monthly or 2k yearly – 0-49 members

299 monthly or 3k yearly – 50-99 members

399 monthly or 4k yearly – 100+ members

4. Money-Back Guarantee Policy

We offer a 45-day money-back guarantee to partners dedicated to achieving results. To qualify for a refund, partners must:

Complete the COACH START Section and the all the steps in the Partner’s Community, including watching the onboarding video, attending an onboarding call with Chris Nassil (Head of Business Coaching), and working with Hallam Morgan to create a launch webinar for driving sign-ups.
Participate in Q&A Sessions: Attend at least 50% of our bi-weekly Q&A sessions, as active involvement is essential for success.
Execute Marketing Campaigns: Launch campaigns based on strategies provided in the Partner’s Community, applying proven methods for attracting clients.
Request Support: Before a refund, schedule a 1:1 call with Chris Nassil to explore any additional support needed.
Show Lack of Sales: A refund is eligible only if, after completing all steps above, no sales of the portal access have been achieved.

5. Proprietary Rights

All intellectual property associated with FlowCode remains solely owned by FlowCode. FlowCode Partners must not alter, utilize, or create derivative works of FlowCode materials without prior written consent.

6. Promotion and Marketing Restrictions

FlowCode Partners must avoid spam or unsolicited commercial emails. Marketing efforts must adhere to FlowCode’s guidelines, using only authorized promotional materials.

7. Termination

This Agreement remains effective until terminated by either party with written notice. Termination of access may occur if the FlowCode Partner account is inactive or terms are breached. Any outstanding commissions will be paid according to the terms outlined here.

8. Modifications

FlowCode reserves the right to modify the terms of this Agreement, including commission structure, with written notice. Continued participation after notice indicates acceptance of the updated terms.

9. Disclaimer and Limitation of Liability

FlowCode is not liable for technical issues or third-party actions affecting the Partner Network. Liability is limited to total commission fees paid.

10. Confidentiality

Confidential information shared between FlowCode and FlowCode Partners must remain confidential and be used only as permitted by this Agreement.

11. Governing Law

This Agreement is governed by the laws of Slovenia. Disputes will be resolved within the jurisdiction of the Slovenian courts.

12. Entire Agreement

This document constitutes the entire agreement between FlowCode and FlowCode Partners, superseding all previous agreements or understandings.
